General Terms & Conditions (GTC)
Welcome to Ayyat Surgical. These General Terms & Conditions govern all sales, deliveries, payments, and business transactions with our customers. By placing an order with us, you agree to the following terms.
1. General Terms
- All sales, deliveries, and services are subject exclusively to these Terms & Conditions.
- Any purchasing terms of the customer shall not be binding unless agreed in writing.
- Orders placed by customers remain binding for four (4) weeks.
- A contract becomes effective only after written order confirmation by Ayyat Surgical.
- If no written objection is made within 7 days of receiving the order confirmation, it shall be deemed accepted.
- Verbal agreements or side arrangements are not valid unless confirmed in writing.
2. Shipping & Delivery
- Goods are delivered at the buyer’s expense and risk, unless otherwise agreed.
- Risk transfers to the customer once goods are handed over to the carrier (DHL, DPD, freight company, etc.).
- Delivery dates are approximate and subject to availability.
- Partial deliveries and separate invoicing are permitted.
- If goods are not collected on time, we reserve the right to store them at the customer’s expense or resell them after notice.
- Packaging is charged at cost price unless otherwise agreed.
- Transit insurance can be arranged upon written request at the customer’s expense
- Visible transport damage must be reported immediately upon receipt.
3. Warranty & Defects
- We guarantee that goods are supplied in proper condition with standard expected qualities.
- Special product features are only guaranteed if confirmed in writing.
- Products marked as second choice, clearance, or remaining stock may have limited warranty.
- Color or finish variations caused by manufacturing materials are not grounds for claims.
- Customers must inspect goods immediately after delivery and report defects without delay.
- Warranty period for consumers: 2 years from delivery.
- For business customers: 6 months warranty unless otherwise agreed.
- Warranty does not extend due to replacement or repair.
4. Liability
- Ayyat Surgical is liable only for damages caused intentionally or through gross negligence.
- We are not responsible for manufacturer brochures, instructions, or technical descriptions.
- Liability excludes indirect damages, loss of profits, or consequential losses.
- Claims must be legally asserted within 6 months of occurrence.
5. Payment Terms
- Invoices are payable immediately upon receipt, unless otherwise agreed.
- Discounts are forfeited in case of delayed payment.
- Payments received will be applied to the oldest outstanding invoice first.
- In case of late payment, default interest of 12% per annum may be charged.
- If payment default occurs, we may demand full outstanding balance immediately.
- Returned checks, bank charges, and collection fees are payable by the customer.
6. Retention of Title
- All goods remain the property of Ayyat Surgical until full payment of all outstanding amounts.
- In case of non-payment, we reserve the right to repossess goods without cancelling the contract.
- Customers may resell goods in the ordinary course of business but may not pledge or transfer ownership before payment is completed.
7. Place of Performance
The place of performance for all obligations shall be the registered office of Ayyat Surgical.
8. Governing Law & Jurisdiction
- All disputes shall be governed under applicable international commercial law.
- Jurisdiction shall be Caslano, Switzerland or the registered office of the company where legally permissible.
- The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
9. Data Protection
Customer data may be stored and processed only to the extent necessary for business operations and in accordance with applicable Data Protection Laws.
